'''[[Dark midpoint order]]''' is a type of trading order used in a [[dark pool]] or other non-displayed trading venue that is executed at the midpoint of the national best bid and offer (NBBO) or an equivalent reference price. Unlike conventional orders entered into a public [[order book]], a dark midpoint order is not displayed to the market before execution. Instead, it remains hidden until it is matched with a compatible order at the prevailing midpoint price, thereby reducing market impact and information leakage.

Dark midpoint orders are primarily used by institutional investors seeking to execute large transactions without revealing their trading intentions to the broader market. By executing at the midpoint between the highest displayed bid price and the lowest displayed ask price, these orders often provide price improvement compared with executing immediately at either the bid or the ask. As a result, dark midpoint orders have become an important tool in modern electronic trading and institutional portfolio management.

Most dark midpoint orders are executed within [[Dark pool|dark pools]] operated by stock exchanges, broker-dealers, or alternative trading systems. Because these venues do not publicly display resting orders, they are intended to reduce the likelihood that large institutional trades will influence market prices before execution. Nevertheless, completed trades are generally reported to the market in accordance with applicable securities regulations.

Dark midpoint orders play an important role in [[market microstructure]], [[market liquidity]], and [[price discovery]]. While they improve execution quality for many institutional investors, they have also generated debate regarding market transparency and the balance between public and non-public trading activity.

== History ==
The development of dark midpoint orders accompanied the growth of electronic trading and [[Dark pool|dark pools]] during the late twentieth and early twenty-first centuries. Institutional investors increasingly sought execution methods that minimized market impact when buying or selling large blocks of securities.

Dark trading venues responded by introducing midpoint execution mechanisms that allowed buyers and sellers to transact anonymously at prices between the prevailing bid and ask quotations. These mechanisms reduced execution costs while preserving confidentiality.

As electronic trading expanded, midpoint order types became a standard feature of many alternative trading systems and exchange-operated dark markets.

== Objectives ==
The principal objectives of dark midpoint orders are to:

* reduce market impact;
* minimize information leakage;
* improve execution quality;
* provide price improvement;
* facilitate institutional trading;
* enhance execution efficiency.

These objectives support efficient trading of large institutional orders.

== Execution methodology ==
A dark midpoint order is generally executed when a compatible buy order and sell order are available simultaneously.

The execution price is normally determined as:

<math>
\text{Execution Price}
=
\frac{\text{Best Bid}+\text{Best Ask}}{2}
</math>

where:

* the best bid represents the highest publicly quoted purchase price;
* the best ask represents the lowest publicly quoted selling price.

Execution occurs only if both counterparties satisfy the trading conditions established by the venue.

== Example ==
Suppose a company's publicly quoted prices are:

* Best bid: '''US$49.90'''
* Best ask: '''US$50.10'''

The midpoint price would be:

<math>
\frac{49.90+50.10}{2}=50.00
</math>

If matching dark midpoint orders exist, the transaction would generally execute at '''US$50.00''', providing price improvement relative to executing immediately at either the bid or the ask.

== Characteristics ==
Dark midpoint orders generally possess several characteristics.

These include:

* non-displayed execution;
* midpoint pricing;
* anonymous trading;
* electronic order matching;
* conditional execution.

The exact features vary according to the trading venue.

== Relationship with dark pools ==
Dark midpoint orders are most commonly executed within [[Dark pool|dark pools]].

Dark pools provide:

* anonymous trading;
* non-displayed order books;
* reduced information leakage;
* institutional execution services.

Many dark pools use midpoint pricing as their primary execution mechanism.

== Relationship with bid-ask spread ==
Dark midpoint orders derive their execution prices directly from the prevailing [[bid-ask spread]].

By executing at the midpoint rather than the bid or ask, investors may receive partial price improvement relative to immediate execution in the displayed market.

== Relationship with market liquidity ==
Dark midpoint orders contribute to [[market liquidity]] by enabling institutional investors to trade large positions without significantly affecting publicly quoted prices.

However, because resting orders remain hidden until execution, some economists argue that excessive dark trading may reduce displayed liquidity in public markets.

== Relationship with price discovery ==
Dark midpoint orders rely upon publicly quoted prices for execution.

Consequently, they depend upon the [[price discovery]] process occurring in displayed markets rather than independently determining market prices.

This relationship has led to ongoing discussion regarding the interaction between public exchanges and non-displayed trading venues.

== Relationship with market microstructure ==
Dark midpoint orders are an important subject within [[market microstructure]].

Research commonly examines:

* execution quality;
* market transparency;
* institutional trading;
* information asymmetry;
* market fragmentation;
* transaction costs.

These studies help evaluate the effects of dark trading on overall market efficiency.

== Applications ==
Dark midpoint orders are widely used in:

* institutional portfolio management;
* [[exchange-traded fund]] trading;
* pension fund investing;
* hedge fund trading;
* index fund rebalancing;
* algorithmic trading.

They are particularly useful for large transactions where minimizing market impact is a priority.

== Advantages ==
Dark midpoint orders provide several important benefits.

They reduce market impact, preserve trading anonymity, minimize information leakage, improve execution quality, and often provide price improvement by executing at the midpoint of the quoted bid and ask prices.

These characteristics make them particularly attractive for institutional investors managing large portfolios.

== Limitations ==
Despite their advantages, dark midpoint orders have certain limitations.

Execution depends upon the availability of compatible counterparties, and orders may remain unexecuted if sufficient matching interest is unavailable. Because resting orders are not displayed publicly, overall market transparency may also be reduced.

Regulators and market participants continue to evaluate the appropriate balance between the efficiency benefits of dark trading and the need for transparent public markets.

== Importance ==
Dark midpoint orders are an important innovation in modern electronic securities trading. By enabling anonymous execution at midpoint prices, they improve execution quality for institutional investors while reducing market impact and transaction costs. Their widespread use reflects the continuing evolution of financial market infrastructure and the growing importance of sophisticated trading mechanisms within modern capital markets.
