The Securities and Exchange Board of India (SEBI) is the statutory regulatory authority responsible for regulating the securities and capital markets in India, protecting the interests of investors, and promoting the orderly development of the securities market. Established on 12 April 1988 as a non-statutory body, SEBI was granted statutory powers through the Securities and Exchange Board of India Act, 1992, following major reforms in the Indian financial sector. Headquartered in Mumbai, Maharashtra, the Board oversees stock exchanges, listed companies, intermediaries, mutual funds, alternative investment funds, collective investment schemes, and other participants in the Indian securities market. It is administered by a Chairman and a Board comprising representatives from the Government of India, the Reserve Bank of India (RBI), and other appointed members.

SEBI's principal responsibilities include regulating securities markets, registering and supervising market intermediaries, enforcing securities laws, preventing fraudulent and unfair trade practices, prohibiting insider trading, and ensuring transparency in the issuance and trading of securities. The Board regulates stock exchanges, depositories, brokers, merchant bankers, portfolio managers, credit rating agencies, investment advisers, research analysts, mutual funds, venture capital funds, alternative investment funds (AIFs), real estate investment trusts (REITs), infrastructure investment trusts (InvITs), and other capital market entities. It also administers regulations relating to public issues, rights issues, takeover of listed companies, share buybacks, corporate governance, disclosure requirements, and continuous listing obligations, thereby promoting fair, efficient, and transparent capital markets.

In addition to regulation and enforcement, SEBI plays a significant role in the development of India's capital markets through policy reforms, investor education, technological innovation, and market modernization. The Board has introduced electronic trading, dematerialization of securities, online surveillance systems, risk management frameworks, algorithmic trading regulations, and disclosure-based regulatory mechanisms that have transformed India's securities market infrastructure. It also conducts market research, publishes consultation papers, operates investor grievance redressal mechanisms such as SCORES (SEBI Complaints Redress System), and promotes financial literacy through nationwide investor awareness programmes.

The Securities and Exchange Board of India works closely with domestic institutions including the Reserve Bank of India (RBI), the Ministry of Finance, the National Stock Exchange of India (NSE), the BSE Limited (BSE), the International Financial Services Centres Authority (IFSCA), and the Insolvency and Bankruptcy Board of India (IBBI). Internationally, SEBI is an ordinary member of the International Organization of Securities Commissions (IOSCO) and cooperates with global regulatory bodies including the Financial Stability Board (FSB) and the World Federation of Exchanges (WFE). Through regulation, supervision, enforcement, investor protection, and market development, SEBI serves as the principal institution responsible for maintaining the integrity, efficiency, and stability of India's securities markets.
