The National Company Law Tribunal (NCLT) is a quasi-judicial body in India that adjudicates matters relating to company law, corporate governance, insolvency, mergers and acquisitions, and the winding up of companies. Established on 1 June 2016 under the Companies Act, 2013, the Tribunal was constituted following decisions of the Supreme Court of India and the notification of relevant statutory provisions. Headquartered in New Delhi, the NCLT functions through a network of regional benches located across India and exercises jurisdiction previously vested in the Company Law Board, the High Courts in respect of certain company matters, and the Board for Industrial and Financial Reconstruction (BIFR). It serves as the principal adjudicating authority for corporate insolvency proceedings under the Insolvency and Bankruptcy Code, 2016 (IBC).

The National Company Law Tribunal exercises jurisdiction over a broad range of corporate matters, including incorporation and management disputes, oppression and mismanagement cases, reduction of share capital, mergers, amalgamations, demergers, corporate restructuring, shareholder disputes, revival and rehabilitation of companies, and liquidation proceedings. Under the Insolvency and Bankruptcy Code, the Tribunal admits applications for the Corporate Insolvency Resolution Process (CIRP), appoints interim resolution professionals, approves resolution plans, orders liquidation where necessary, and supervises insolvency proceedings involving corporate debtors. The NCLT also hears matters relating to insolvency of limited liability partnerships and certain other corporate entities as prescribed by law.

In addition to its adjudicatory functions, the NCLT plays a significant role in India's corporate regulatory framework by facilitating efficient resolution of commercial disputes, restructuring financially distressed companies, and promoting creditor confidence. Its proceedings are governed by the Companies Act, the Insolvency and Bankruptcy Code, and the National Company Law Tribunal Rules. The Tribunal works in coordination with insolvency professionals, information utilities, creditors, corporate debtors, and regulatory authorities to ensure timely disposal of cases while supporting the objectives of corporate governance, business continuity, and economic efficiency. Decisions of the NCLT are appealable before the National Company Law Appellate Tribunal (NCLAT), with further appeals on questions of law lying before the Supreme Court of India.

The National Company Law Tribunal works closely with institutions including the Insolvency and Bankruptcy Board of India (IBBI), the Ministry of Corporate Affairs, the Securities and Exchange Board of India (SEBI), the Reserve Bank of India (RBI), the Competition Commission of India (CCI), and the NCLAT. Through its adjudication of company law and insolvency matters, the NCLT plays a central role in strengthening corporate governance, facilitating business restructuring, improving the resolution of distressed assets, and enhancing the effectiveness of India's corporate legal framework.
