National Company Law Appellate Tribunal
The National Company Law Appellate Tribunal (NCLAT) is a quasi-judicial appellate body in India that hears appeals against the decisions and orders of the National Company Law Tribunal (NCLT) and certain other statutory authorities. Established on 1 June 2016 under the Companies Act, 2013, the Tribunal succeeded the appellate jurisdiction previously exercised in specified corporate matters by higher judicial forums. Headquartered in New Delhi, the NCLAT serves as the principal appellate authority for disputes relating to company law, insolvency, corporate restructuring, competition law, and related regulatory matters. Appeals from the NCLAT on questions of law lie before the Supreme Court of India.
The National Company Law Appellate Tribunal primarily hears appeals arising from proceedings under the Companies Act, 2013 and the Insolvency and Bankruptcy Code, 2016 (IBC). It reviews decisions of the NCLT concerning corporate insolvency resolution, liquidation, mergers and amalgamations, shareholder disputes, oppression and mismanagement, reduction of share capital, and other company law matters. The Tribunal also exercises appellate jurisdiction over orders issued by the Competition Commission of India (CCI), enabling it to review decisions relating to anti-competitive agreements, abuse of dominant position, and merger control. Through its appellate function, the NCLAT promotes consistency in the interpretation and application of corporate and competition laws across India.
In addition to adjudicating appeals, the NCLAT plays an important role in the development of Indian corporate jurisprudence by clarifying legal principles governing insolvency resolution, creditor rights, corporate governance, restructuring, and competition policy. Its judgments provide authoritative guidance for the National Company Law Tribunal, insolvency professionals, regulatory authorities, financial institutions, and corporate entities. The Tribunal contributes to the objectives of the Insolvency and Bankruptcy Code by promoting timely resolution of insolvency proceedings, reducing litigation uncertainty, and strengthening creditor confidence while supporting efficient corporate restructuring and business continuity.
The National Company Law Appellate Tribunal works closely with institutions including the National Company Law Tribunal (NCLT), the Insolvency and Bankruptcy Board of India (IBBI), the Competition Commission of India (CCI), the Ministry of Corporate Affairs, the Securities and Exchange Board of India (SEBI), and the Reserve Bank of India (RBI). Through its appellate jurisdiction, judicial oversight, and interpretation of corporate and insolvency laws, the NCLAT plays a central role in strengthening India's corporate legal framework, enhancing regulatory certainty, and supporting the efficient functioning of the country's financial and commercial sectors.
