Company Law Board
The Company Law Board (CLB) was a quasi-judicial body in India responsible for adjudicating matters relating to company law, corporate governance, shareholder disputes, and the administration of the Companies Act, 1956. Constituted in 1991 under Section 10E of the Companies Act, 1956, the Board succeeded the company law functions previously exercised by the Department of Company Affairs. Headquartered in New Delhi, with regional benches located across India, the CLB exercised judicial and administrative powers relating to corporate affairs until its dissolution in 2016 following the establishment of the National Company Law Tribunal (NCLT) under the Companies Act, 2013.
The Company Law Board exercised jurisdiction over a wide range of company law matters, including oppression and mismanagement of companies, rectification of the register of members, transfer and transmission of shares, deposits accepted by companies, changes in share capital, appointment and removal of directors, investigations into company affairs, and various applications and petitions under the Companies Act. It also adjudicated disputes involving shareholders, creditors, directors, and corporate entities while issuing orders intended to ensure compliance with company law and protect the interests of investors and minority shareholders. Certain powers relating to corporate restructuring, mergers, and winding up continued to remain with the High Courts until the creation of the NCLT.
In addition to its adjudicatory functions, the CLB played an important role in promoting sound corporate governance and resolving commercial disputes through specialized company law expertise. Its decisions contributed significantly to the development of Indian corporate jurisprudence concerning shareholder rights, fiduciary duties of directors, minority protection, and corporate administration. Appeals against orders of the Company Law Board were generally heard by the jurisdictional High Courts, depending on the statutory provisions governing the particular matter.
The Company Law Board worked closely with institutions including the Ministry of Corporate Affairs, the Registrar of Companies, the Securities and Exchange Board of India (SEBI), the Reserve Bank of India (RBI), and other regulatory authorities responsible for corporate and financial regulation. Following the implementation of the Companies Act, 2013 and the Insolvency and Bankruptcy Code, 2016, its jurisdiction was transferred to the National Company Law Tribunal (NCLT), with appeals thereafter lying before the National Company Law Appellate Tribunal (NCLAT). The establishment of the NCLT replaced the Company Law Board with a unified tribunal for corporate and insolvency matters, streamlining the adjudication of company law disputes in India.
