Ontario Securities Commission
The Ontario Securities Commission (OSC) is an independent regulatory agency responsible for administering and enforcing securities law in the Canadian province of Ontario. Established in 1967 under the Securities Act (Ontario), the Commission oversees the province's capital markets with the objectives of protecting investors from unfair, improper, or fraudulent practices, fostering fair, efficient, and competitive capital markets, and contributing to the stability of the financial system. Headquartered in Toronto, the OSC is Canada's largest provincial securities regulator, reflecting Ontario's position as the country's principal financial centre.
The Commission regulates a broad range of market participants, including public companies, investment dealers, mutual fund dealers, investment advisers, portfolio managers, investment fund managers, credit rating agencies, marketplaces, clearing agencies, and other registrants operating within Ontario's capital markets. Its responsibilities include reviewing public disclosure documents, administering prospectus and registration requirements, supervising exchanges and alternative trading systems, monitoring compliance with securities legislation, conducting investigations, and taking enforcement action against market misconduct such as insider trading, market manipulation, accounting fraud, and misleading disclosure. The OSC also develops regulatory policies and rules in consultation with market participants and other Canadian securities regulators.
As a member of the Canadian Securities Administrators (CSA), the Ontario Securities Commission collaborates with securities regulators across Canada's provinces and territories to harmonize securities regulation and develop nationally coordinated policies. The Commission also participates in international regulatory organizations, including the International Organization of Securities Commissions (IOSCO), to promote cross-border regulatory cooperation and the adoption of global standards for securities markets. Through these activities, the OSC contributes to the integrity, transparency, and competitiveness of Canada's capital markets.
The Ontario Securities Commission plays a central role in maintaining investor confidence and supporting capital formation in Canada's economy. Its regulatory oversight encompasses many of Canada's largest publicly traded corporations, financial institutions, and investment funds, including issuers listed on the Toronto Stock Exchange and other Canadian marketplaces. By combining supervision, enforcement, investor education, and policy development, the OSC seeks to ensure that Ontario's capital markets operate in a fair, transparent, and efficient manner while adapting to emerging financial technologies, evolving market structures, and international regulatory developments.
